General terms of use

Preamble
These general terms of use (hereinafter the "Terms") govern the use of the PickItSmartly software, a real estate appraisal and analysis solution published by PickItSmartly, with registered office at HUB Business Center, Rue sur Haies 7, 4557 Tinlot (Belgium), registered with the Belgian Crossroads Bank for Enterprises under number BE 1005.034.915 (hereinafter "PickItSmartly").
Accessing and using the software implies full and unreserved acceptance of these Terms.
1. Description of the service
PickItSmartly provides real estate valuations and analyses based on data analysis technologies, automated collection of public information, analytical mapping and market comparison.
The software offers, among other things, customized valuation reports, comparison points and real estate market trend analyses.
The results provided by PickItSmartly are a decision-support tool. They do not constitute a certified appraisal report within the meaning of applicable regulations, unless such a report is expressly issued and signed by an authorised expert.
2. Conditions of access and use
PickItSmartly is intended for real estate professionals, financial institutions and individuals.
Users must hold an account to access the software. They are responsible for the confidentiality of their credentials and for any activity carried out from their account.
Any fraudulent, illegal or unethical use is strictly prohibited, as is any attempt at bulk extraction, reproduction or resale of the software's data.
3. Intellectual property
The PickItSmartly software, its interface, databases, algorithms, trademarks and all its content are protected by intellectual property law and remain the exclusive property of PickItSmartly.
Users are granted a personal, non-exclusive and non-transferable right of use, limited to the duration of their access. Any reproduction, distribution, adaptation or commercial exploitation, in whole or in part, is prohibited without prior written authorisation.
4. Data confidentiality and security
PickItSmartly undertakes to protect the confidentiality and security of its users' personal and professional data.
The data collected is processed in accordance with applicable legislation and with the privacy policy, which forms an integral part of these Terms.
5. Liability
PickItSmartly takes reasonable steps to ensure the reliability and currency of the data provided, without being able to guarantee its absolute accuracy or completeness. The data derives in part from public or third-party sources whose quality PickItSmartly does not control.
Users remain solely responsible for interpreting the results and for the decisions they take on that basis.
PickItSmartly's liability is limited to direct and demonstrable damages, excluding any indirect damage, in particular loss of opportunity, loss of profit or commercial harm.
PickItSmartly does not guarantee uninterrupted availability of the service and may temporarily suspend access for maintenance.
6. Financial provisions
Pricing terms, including subscription and licence fees, are set out in a separate agreement concluded between PickItSmartly and the user.
A free version is offered with a restricted feature scope. PickItSmartly reserves the right to modify its content.
7. Use of automated data collection
Legal framework. PickItSmartly uses automated data collection techniques (web scraping) in compliance with applicable laws and regulations, particularly regarding intellectual property, confidentiality and personal data protection.
Compliance with third-party site terms. When collecting data, PickItSmartly respects the terms of use and privacy policies of the third-party sites from which data is extracted.
Limitation of use. Data collected in this way is used exclusively to provide and improve PickItSmartly's services. It is neither sold nor shared with third parties, except as required by law or with the user's explicit consent.
User responsibility. Users undertake not to use the data obtained for illegal or unethical purposes and are accountable for its proper use in the course of their professional activity.
8. GDPR compliance
As the controller of the personal data it collects, PickItSmartly complies with Regulation (EU) 2016/679 (GDPR) and with the Belgian Act of 30 July 2018 on the protection of natural persons with regard to the processing of personal data.
Users have the rights of access, rectification, erasure, restriction, objection and portability. The procedures for exercising these rights are set out in the privacy policy.
9. Duration and termination
Access is granted for the term set out in the agreement between the parties. PickItSmartly may suspend or terminate a user's access in the event of a breach of these Terms, following a formal notice that has remained without effect, except in the case of a serious breach justifying immediate suspension.
10. Amendments to the Terms
PickItSmartly reserves the right to amend these Terms. Users are informed of any substantial change. Continued use of the software after notification constitutes acceptance of the new terms.
11. Governing law and jurisdiction
These Terms are governed by Belgian law. In the event of a dispute, and failing an amicable settlement, exclusive jurisdiction is granted to the courts of the judicial district of Liège, Huy division.
12. Miscellaneous provisions
The possible invalidity of one clause does not affect the validity of the remaining provisions.
PickItSmartly's failure to exercise a right shall not be construed as a waiver of that right.
